Terms of Service - WiseStudio

This document sets out the terms of cooperation with WiseStudio agency for website design, e-commerce stores, and SEO services. These terms specify the rights and obligations of both parties, payment rules, and copyright matters.
1. General Provisions
1.1. The owner of the WiseStudio brand and the entity providing services is Andrzej Pochroń, conducting business activity. Correspondence address: Łękawica 5f, 33-156 Skrzyszów, Poland.
1.2. The Contractor can be contacted at the email address: [email protected].
1.3. These Terms apply to the following services:
- Creation of websites and online stores (Web Development).
- Positioning and website optimization (SEO).
- Technical audits and other internet marketing services.
1.4. The Client may be a natural person, legal entity, or organizational unit without legal personality. In B2B relations (between entrepreneurs), the professional nature of cooperation is presumed.
2. Contract Conclusion and Cooperation Model
2.1. Cooperation begins with a request for quotation from the Client. Based on this, WiseStudio prepares a quotation or preliminary audit.
2.2. The contract is concluded by:
- Signing a dedicated cooperation agreement (paper or electronic), OR
- Acceptance of the quotation by the Client via email and payment of an advance/deposit (if required).
2.3. For website creation, WiseStudio reserves the right to collect an advance payment before starting work (typically 30-50% of the order value).
2.4. For subscription services (e.g., ongoing SEO support), the contract is concluded for a definite or indefinite period with the notice period indicated in the offer/contract.
3. Obligations of the Parties and Material Delivery
3.1. WiseStudio undertakes to perform services with due diligence, in accordance with current technical knowledge and industry standards.
3.2. The Client undertakes to deliver materials necessary for the order in a timely manner (texts, logo, photos, server/domain access).
3.3. Delay in delivering materials by the Client results in automatic postponement of the completion deadline by WiseStudio by the delay time, without negative consequences for the Contractor.
3.4. The Client declares that they hold copyright to all materials (photos, texts) transferred to WiseStudio for placement on the website.
4. Copyright (Important!)
4.1. As part of the website creation service, WiseStudio transfers the economic copyright to the created project (layout, dedicated code) to the Client.
4.2. The transfer of copyright occurs upon the full amount of remuneration being credited to the WiseStudio account. Until full payment, the project remains the property of WiseStudio.
4.3. In case of using ready-made CMS systems (e.g., WordPress) or paid plugins/themes, they are licensed according to their creators' terms (e.g., GNU GPL license), and WiseStudio grants a license for their implementation and configuration.
5. Specifics of SEO Services (Exclusion of Result Guarantee)
5.1. SEO service (positioning) is a best-effort service. WiseStudio commits to applying best practices aimed at improving the visibility of the Client's website in Google search.
5.2. Due to the confidentiality of search engine algorithms and competitors' actions, WiseStudio does not guarantee achieving a specific position (e.g., "first place on Google") within a specified time.
5.3. WiseStudio is not responsible for ranking drops resulting from:
- Sudden changes in Google's algorithm (Core Updates).
- Independent interference by the Client in the website code or content without consultation.
- Hosting server failures where the Client's website is located.
6. Payments and Work Acceptance
6.1. Payments are made based on VAT invoices or bills, by transfer to the bank account indicated on the document.
6.2. Website acceptance procedure:
- WiseStudio presents the Client with a demo/working version.
- The Client has the right to submit corrections within the number of correction rounds established in the offer.
- After making corrections, final acceptance, payment of the remaining remuneration, and installation of the website on the target server takes place.
6.3. Failure to submit comments within 7 days of presenting the project is treated as acceptance of work without reservations.
7. Complaints and Liability
7.1. The Client has the right to file a complaint regarding improper service operation at [email protected]. The complaint processing time is 14 days.
7.2. WiseStudio's liability for damages to business clients (B2B) is limited to the amount of remuneration for the given service (or monthly subscription for continuous services).
7.3. WiseStudio is not responsible for website interruptions caused by failures of external hosting providers, domains, or hacker attacks, unless they result from gross negligence of the Contractor.
8. Withdrawal from Contract (Consumers)
8.1. If the Client is a Consumer, they have the right to withdraw from the contract concluded remotely within 14 days.
8.2. This right does not apply to services that have been fully performed with the Consumer's express consent before the withdrawal deadline, or in case of delivering digital content (e.g., dedicated graphic design, audit) that is not recorded on a physical medium, if the performance has begun with the Consumer's consent.
8.3. In case of "tailor-made" projects (dedicated website), the subject of the service is a non-prefabricated item produced according to the consumer's specification, which according to Art. 38 of Consumer Law excludes the right to withdraw from the contract after work has begun.
9. Final Provisions
9.1. In matters not regulated by these Terms, the provisions of the Civil Code and the Copyright and Related Rights Act shall apply.
9.2. The court competent to resolve disputes in B2B relations is the court appropriate for the WiseStudio headquarters.
9.3. WiseStudio reserves the right to introduce changes to the Terms. For ongoing contracts, the version of the Terms in force at the time of contract conclusion is binding, unless the parties decide otherwise.
